Section 3(2) of the Land Registration Ordinance and the nemo dat principle Section 3(2) of the Land Registration Ordinance means that O's unregistered assignment of land to A1 will be defeated by O's subsequent assignment of the same land to A2. The proviso is that A2 must be a good faith purchaser for valuable consideration.
